Unicorn Mineral Resources Plc, (LSE: UMR), a mineral exploration and development company based in Ireland exploring for Zinc, Lead, Copper and Silver, is pleased to announce that, further to the announcement on 9 December 2024, it has today published a Prospectus. The Prospectus, which has been approved by the Financial Conduct Authority (“FCA“), has been published on the Company’s website at https://unicornmineralresources.com/category/investors/ and will also be available at the FCA’s Document Storage Mechanism at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
The Prospectus has been published to enable the issue and admission to the Official List and to trading on the Main Market of the London Stock Exchange (“Admission“) of 6,000,000 new ordinary shares of €0.01 each (“Shares“), pursuant to the conversion of the convertible loan notes issued on 13 December 2023 and 6 December 2024.
Application will be made for the Admission of 6,000,000 Shares. It is expected that Admission will become effective on or around 20 December 2024. The Shares will rank pari passu with the existing ordinary shares of the Company.
On Admission, the Company’s issued ordinary share capital shall consist of 40,854,987 ordinary shares with each ordinary share carrying the right to one vote. Accordingly, the figure of 40,854,987 represents the total voting rights in the Company and should be the figure used by shareholders as the denominator for the calculation by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA’s Disclosure Guidance & Transparency Rules.
